Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website at bildvue.com (the "Site") and the website-design, development, and related services (the "Services") provided by BildVue, a sole proprietorship based in York, Pennsylvania ("BildVue," "we," "us," or "our"). By using the Site, requesting a quote, or engaging us for Services, you ("you" or the "Client") agree to these Terms.
1. Our Services
BildVue designs, builds, and supports custom websites and provides related services such as website audits, content setup, search-optimization basics, and ongoing maintenance. The specific work, deliverables, timeline, and price for any engagement are described in a written quote, proposal, or invoice that we provide to you (an "Order"). If anything in an Order conflicts with these Terms, the Order controls for that engagement.
2. Quotes and Project Scope
Prices shown on the Site are starting points; your final price is scoped to your project and confirmed in your Order. Work outside the agreed scope (additional pages, features, revisions beyond those included, or new requests) may be quoted separately as an add-on before we proceed.
3. Payment Terms
- Unless your Order states otherwise, a deposit may be required before work begins, with the balance due on the schedule set out in your invoice.
- Invoices are payable by the due date shown. You may pay online by card or bank transfer where those options are offered; card payments are processed by Stripe and may include a disclosed processing fee, which is shown before you pay.
- Late or unpaid balances may pause work, and we may withhold delivery, launch, or transfer of files until amounts due are paid in full.
4. Refunds and Cancellation
Because our work is custom and performed specifically for you, deposits and amounts for work already completed are generally non-refundable. If you cancel a project in progress, you remain responsible for payment for work performed and costs incurred up to the cancellation date. Any different refund arrangement will be stated in your Order.
5. Your Responsibilities
To keep your project on schedule, you agree to provide the content, images, logins, and information we reasonably need, to review deliverables promptly, and to give timely feedback and approvals. You represent that any materials you provide are accurate and that you have the rights to use them (see Section 7). Delays in providing materials or approvals may extend timelines.
6. Revisions and Approval
Your Order specifies how many rounds of revisions are included. You are responsible for reviewing deliverables and confirming approval before launch. Once you approve a deliverable or it goes live, further changes may be treated as additional work.
7. Intellectual Property
Upon your full payment for an engagement, you own the final custom website deliverables we create specifically for you, except for: (a) third-party components, fonts, plugins, stock media, and open-source software, which remain subject to their own licenses; and (b) BildVue's pre-existing tools, code libraries, and know-how, which we retain and may reuse. You grant BildVue permission to display your project in our portfolio and marketing unless you ask us in writing not to.
You are solely responsible for content you provide (text, images, logos, trademarks, and other materials) and represent that you own it or have the right to use it. You agree that your content does not infringe anyone's rights or violate any law.
8. Hosting, Domains, and Third-Party Services
Your website may rely on third-party providers such as web hosting, domain registrars, email, analytics, payment processing, and embedded tools. Those services are governed by their own terms, and we are not responsible for their availability, performance, pricing changes, or acts and omissions. Where you hold the accounts (for example, your domain or hosting), you are responsible for maintaining them.
9. Acceptable Use
You agree not to use the Site or Services to break the law, infringe others' rights, transmit malware, attempt to gain unauthorized access to our systems, or interfere with the Site's operation. We may suspend access for conduct that violates these Terms.
10. Disclaimers
The Site and Services are provided on an "as is" and "as available" basis. While we work to deliver professional, high-quality results, we do not warrant that the Site or your website will be uninterrupted, error-free, or secure against every threat, or that any particular business result, search ranking, or traffic level will be achieved. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, BildVue and its owner will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Site or Services. Our total liability for any claim relating to an engagement will not exceed the amount you paid to us for that engagement in the twelve (12) months before the claim arose.
12. Indemnification
You agree to indemnify and hold harmless BildVue and its owner from claims, damages, and expenses (including reasonable attorneys' fees) arising from content or materials you provide, your use of the Services, or your violation of these Terms or of any law or third-party right.
13. Term and Termination
These Terms apply while you use the Site or engage our Services. Either party may terminate an engagement as provided in the Order or these Terms. Sections that by their nature should survive termination — including payment obligations, intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
14. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. You agree that any dispute relating to the Site, Services, or these Terms will be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to the jurisdiction of those courts. Before filing, the parties agree to attempt in good faith to resolve the dispute informally by contacting one another.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective date" above and post the updated Terms on this page. Your continued use of the Site or Services after changes take effect means you accept the revised Terms.
